Terms of Service

AGREEMENT TO OUR LEGAL TERMS

We are Typeside ("Company," "we," "us," "our"), operating from the Republic of Korea. You can reach us by email at typeside001@gmail.com. Section 26 (Contact Us) has our full contact details.

We operate typeside.app and the Typeside desktop application, together with any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Typeside, concerning your access to and use of the Services. By creating an account, or by accepting them on the desktop app's first-run screen, you agree to be bound by them. If you do not agree, do not create an account or use the app.

We may change these Legal Terms. Section 15 (Modifications and Interruptions) sets out how we will tell you and what you may do if you do not accept a change. Changes do not apply retroactively, and continuing to use the Services is not by itself your agreement to a change that requires your consent.

The Services are intended for users who are at least 14 years of age. If you are a minor where you live, you may use the Services only with the permission of a parent or guardian, who must read and agree to these Legal Terms on your behalf.

We recommend that you keep a copy of these Legal Terms for your records.

1. OUR SERVICES

The Services are a writing assistant that works alongside the applications you already use. Some features run on your own device and some are processed in the cloud; Section 9 (AI Features and Output) and our Privacy Notice explain which is which, and how to keep everything on your device.

The Services are not made available where doing so would be contrary to law, or would subject us to a registration requirement in that country. If you access the Services from such a place you do so on your own initiative and are responsible for compliance with local law.

The Services are a general-purpose writing tool. They are not designed or certified for regulated uses — for example the handling of protected health information, financial account data, or classified material — and we do not represent that they meet the requirements of any such regime. Section 9 (AI Features and Output) explains the care you should take before relying on Output for consequential decisions.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of the intellectual property rights in the Services, including the source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics in them (collectively, the "Content"), as well as the trademarks, service marks, and logos they contain (the "Marks").

Our Content and Marks are protected by copyright, trademark, and unfair competition law in the Republic of Korea and, through international treaties, in other countries.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any part of the Content you have properly obtained, for your own personal or business use.

Except as set out in this section or elsewhere in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, publicly displayed, encoded, translated, transmitted, distributed, sold, or licensed without our prior written permission. If you would like to make some other use of them, write to us at typeside001@gmail.com.

We reserve all rights not expressly granted to you in the Services, Content, and Marks. A serious or repeated breach of this section is a ground on which we may end your access under Section 14 (Term and Termination), which sets out the notice and refund that apply.

This section is about our material. Text you send to the Services and the results you receive are governed by Section 9 (AI Features and Output), and product feedback by Section 10 (Feedback Licence).

3. USER REPRESENTATIONS

By using the Services you confirm that: (1) the registration information you give us is accurate and you will keep it up to date; (2) you have the legal capacity to enter into these Legal Terms and agree to comply with them; (3) you are at least 14 years of age, and if you are a minor where you live, a parent or guardian has agreed to these Legal Terms on your behalf; (4) you will not access the Services by automated means except as we permit; and (5) you will not use the Services for any unlawful purpose.

If information you have given us turns out to be untrue or out of date, we may ask you to correct it and, where the problem is material and you do not correct it, we may suspend or end your account under Section 14 (Term and Termination).

Nothing in this section shifts to you a burden of proof that the law places on us.

4. USER REGISTRATION

A website account is used to purchase and manage a licence, subscriptions, and activated devices. The desktop application does not sign in to that account: it uses your licence key and a signed activation record. Cloud generation connects directly to the AI provider you configure using your own API key (BYOK). You sign in to the website with a third-party account (currently a Google account); we do not issue or hold a password of our own. You are responsible for keeping access to that account and your licence key secure, except where a failure is ours.

Tell us promptly if you believe someone else has used your account.

5. PURCHASES AND PAYMENT

Paid plans are sold through our reseller Paddle. The free features of the Services cost nothing (Pro features require a licence key); you are charged only if you buy a paid plan.

Paddle acts as Merchant of Record for paid purchases: it is the seller of record, processes your payment, and handles sales tax, receipts, and payment methods. The Paddle entity that sells to you depends on where you buy from — Paddle.com Inc. for buyers in the United States, Paddle.com (Canada) Ltd. for buyers in Canada, and Paddle.com Market Limited (United Kingdom) for buyers elsewhere — and is shown at checkout together with Paddle's buyer terms.

The rest of this section, together with Section 6 (Subscriptions) and Section 7 (Refund and Cancellation), sets out the terms that apply to paid plans.

The USD base prices are Pro Monthly: US$5.99 per month; Pro Annual: US$59.90 per year, charged once in full; and Pro Lifetime: US$119, paid once. There is no free trial. Local-currency prices shown before checkout are estimates; the final currency, amount, tax, and any conversion credit are confirmed in Paddle checkout before you pay. AI provider charges are separate and paid by you to your provider; these prices do not include API usage.

You agree to provide accurate purchase and account information and to keep your payment details current so that we can complete your transactions and contact you where needed. You authorise the charge shown at checkout when you place your order.

Price changes

We may change the price of a plan for future billing periods. We will not change the price of a period you have already paid for.

Where a change would increase the amount charged for your subscription, or would turn a free arrangement into a paid one, we will ask for your agreement at least 30 days before it takes effect and tell you how to decline. If you do not agree, your subscription continues at the current price until the end of the period you have paid for and then ends; you do not lose anything you have already paid for.

We may correct errors in pricing, including after an order has been placed, but where the correct price is higher we will ask you whether you wish to proceed rather than charge the difference.

6. SUBSCRIPTIONS

Billing and renewal

Subscriptions renew automatically at the end of each billing period until you cancel. Before you subscribe we tell you the price, the length of the billing period, and that the subscription renews automatically, and we ask for your agreement to automatic renewal separately from your agreement to these Legal Terms.

Where the law requires it, our reseller Paddle sends you a reminder before an annual subscription renews. Your next renewal date is always shown in My Account. You receive a receipt after each charge.

Cancellation

You can cancel at any time from My Account on our website — the same place and in the same number of steps as signing up. You can also cancel by writing to typeside001@gmail.com.

Cancelling stops the next renewal. Section 7 (Refund and Cancellation) sets out when you can also get money back for the period you have already paid for.

Changing plans and payment failures

A monthly subscription can change to annual immediately, using the prorated amount shown for your confirmation. An annual-to-monthly change is not currently available; it will be offered only after we can reliably arrange the change at the next renewal, without refunding or shortening the paid annual term. We do not create a second subscription to work around that restriction.

If a renewal payment fails, paid access continues for a 15-day grace period measured from the end of the paid period. Retrying a payment does not restart that period. If payment is not recovered, paid access expires; on-device free features remain available.

Lifetime licence and devices

A lifetime purchase gives you a non-expiring desktop licence, with updates and support for as long as Typeside operates the service, including future major desktop versions such as Typeside 2. It does not promise that the service or any third-party API will operate forever. You can activate up to 3 devices at a time and manage them in My Account.

When converting a subscription to lifetime, the credit is based on the amount actually paid for the current subscription product and the unused fraction of its period, calculated using the remaining seconds. The quote explains the currency and tax treatment; we offer the conversion only when those amounts can be compared reliably. After payment and confirmation that the old subscription has stopped, lifetime access replaces it.

Lifetime activation is temporary during the withdrawal period. After it ends, one online confirmation is required to obtain a permanent offline activation record, provided no refund or dispute is pending. A refund or chargeback (a payment disputed through your payment provider) can suspend online renewal and new activations. A permanent record already held by an offline device cannot be withdrawn remotely until that device reconnects; once it reconnects, any refund, revocation, or device removal takes effect. "Permanent" means the record does not expire, not that it cannot be withdrawn.

The original 14-day deadline recorded for an order does not restart when an activation is refreshed or a purchase confirmation is delivered late. If confirmation is delivered after that deadline, permanent activation is held for review. This does not limit any additional withdrawal or other rights that mandatory law gives you because of delayed information.

7. REFUND AND CANCELLATION

Fourteen days to change your mind

You may withdraw from a lifetime purchase or subscription-to-lifetime conversion for any reason within 14 days of purchase and receive a full refund of the amount paid for that purchase or conversion. Request it by writing to typeside001@gmail.com. When a conversion refund is approved, the same licence returns to the original subscription only through its original paid end date; automatic renewal is not restarted.

For monthly and annual subscriptions, you may request immediate cancellation and a refund for the unused time. The amount is prorated from the actual amount paid, using the remaining period when you request cancellation, not the amount of AI usage. If mandatory withdrawal rules entitle you to more — including a full refund where the conditions for a deduction were not met — those rules prevail. Using the Services alone does not waive those rights.

Cancelling later

You may cancel a subscription at any time. Choose immediate cancellation with the unused period refunded on a prorated basis, or cancellation at the end of the paid period with access continuing until then and no refund for that period. Cancellation at the end of the period is available on My Account; for immediate cancellation with a refund, write to us. We do not charge a cancellation fee or penalty. After the 14-day lifetime withdrawal period, refunds remain available where required by applicable law or where we have failed to provide what you purchased.

How refunds are made

We make refunds to the payment method you used, within three business days of the day you tell us you are withdrawing or cancelling — we do not have to accept your request first. Where you paid by card, we ask the card issuer to stop or reverse the charge without delay; the money may then take a few more days to reach you, and any delay in that step is our responsibility, not yours.

Paddle may review a refund before approving it; that review does not change the refund deadline above or our responsibility for any delay. We record your notice when received and show the request as pending while that happens; your rights do not wait for approval. The app changes the paid entitlement only on confirmed approval. A rejection does not erase your notice or any mandatory right, and you may contact us for review. A pending lifetime refund prevents permanent offline activation.

If we are at fault

If we fail to provide the Services for a period for reasons within our control, we refund that period separately, whether or not you cancel.

This section covers the situation where you end the contract. Where we end it, Section 14 (Term and Termination) applies.

8. PROHIBITED ACTIVITIES

You may use the Services only for the purposes we make them available for. You agree not to:

Section 9 (AI Features and Output) sets out separately what you may and may not send to the cloud-based features.

9. AI FEATURES AND OUTPUT

The Services are operated using artificial intelligence. Transcription, refinement, translation, summarisation, shortening, expansion, and generation are produced by AI models, not by a person.

In these Legal Terms, "Input" means the text you submit to the Services, together with any screen or clipboard excerpt, window title, or the name of the application you are writing in that the Services transmit on your behalf when the skill you use is set to include it. "Output" means the text the Services return to you.

Where another section of these Legal Terms conflicts with this section as to Input or Output, this section controls — except that any provision giving you greater protection, and any mandatory right you have under the law of your country of residence, prevails over this section.

Your Input

You retain all rights in your Input. We claim no ownership of it. We process Input to provide the Services to you; our Privacy Notice explains the limited further purposes for which we process information about your use of the Services.

Licence. You permit the application to process your Input and Output on your device and, when you choose a cloud model, to send them directly to your configured provider solely to carry out your request. Typeside does not proxy that request through its servers or receive your API key. The provider's own terms apply to that direct connection; review its retention, training, and usage policies before choosing it. We do not sell your Input or Output.

What you send

You agree not to submit to the cloud-based features material you are not permitted to disclose outside your own organisation, or another person's personal information where you have no proper reason to send it. Turn on "Process on this device only" in the application under Settings › Data for such material.

Please do not send through the cloud-based features material containing information about health, race, religion, political opinions, trade union membership, sexual life, or genetic or biometric data, or a national identification number. We do not ask for such information and do not knowingly collect it.

Where you use the Services for the purposes of a business, profession, or organisation, you additionally confirm that you are authorised to submit that material on its behalf. Where that organisation is responsible under data protection law for material you send, that responsibility remains with the organisation. Write to us if you require a data processing agreement.

On-device and cloud processing

Dictation and autocomplete are processed entirely on your device. Text transformation and generation use the available on-device model or the model you configure. Pro enables BYOK and additional desktop features (prompt mode, shorten, expand, and custom skills); it does not provide a Typeside-hosted AI service. A configured cloud provider receives your text directly from your device. Free features (dictation, autocomplete, refine, translate, and summarise) use the on-device path. The desktop app currently runs only on Apple Silicon Macs with macOS 13 or later.

If you turn on "Process on this device only" under Settings › Data, remote model connections are blocked. Skills configured for a cloud model are unavailable while it is on. Locally configured features remain available with the appropriate licence and compatible model. Our Privacy Notice explains the data flow.

If you must not disclose particular material to a third party, do not submit it to a cloud-based feature.

Output

Nothing in this section excludes or limits our obligation under applicable consumer law to supply the Services in conformity with the contract, or any remedy you have if we fail to do so. Subject to that:

As between you and us, we claim no ownership in Output, and to the extent we may hold any right in it we hereby assign that right to you on generation. Depending on where you live and how much of the Output you created yourself, Output may not attract copyright protection at all; this assignment transfers whatever rights exist and does not create any. Our model provider may generate the same or similar content for others and reserves the right to do so.

Output is produced by statistical models. It can be factually wrong, incomplete, or unsuitable for your purpose, and similar or identical Output may be generated for other users. We therefore make no promise as to the content of any individual Output, and we do not defend or indemnify you in respect of it. Review Output before relying on it or making it public. You should not rely on Output for medical, legal, financial, employment, credit, or other consequential decisions without review by a qualified person.

Where you turn on screen, window-title, or clipboard context, that material is sent to the model and can change what the model produces — including text written by someone else that happens to read like an instruction.

Training

We do not use your Input or Output to train or fine-tune any artificial intelligence model, and we do not sell or provide it to anyone else for that purpose. The former text-contribution programme has ended. A provider you choose for BYOK has its own policies; we cannot promise that all providers exclude retention, training, or human review.

Changes to models

We may update the available on-device models and supported provider connections. We do not guarantee that the same Input will produce the same Output at different times. You choose the cloud provider and model; we do not silently replace it with a Typeside-hosted processing service.

Provider usage and licence limits

Typeside does not meter a monthly cloud token allowance. Your provider sets its own API charges, rate limits, and usage allowance. The desktop licence and device limit form part of your contract and do not purchase API credits. Restrictions under Section 8 (Prohibited Activities) remain subject to the notice and review rights in Section 12 (Services Management).

10. FEEDBACK LICENCE

If you send us a question, comment, suggestion, or other feedback about the Services, you agree that we may use and share it for any purpose without payment or attribution to you. This section is about product feedback only; the text you send to be processed is governed by Section 9 (AI Features and Output).

Feedback you send us is not confidential unless we agree otherwise in writing. Please do not include confidential material in it.

11. THIRD-PARTY SERVICES

Accounts, authentication, and licence records run on Supabase, Inc. (privacy). Error diagnostics are handled by Functional Software, Inc., trading as Sentry (privacy). Website feedback is delivered by Resend, Inc. (privacy); the desktop app opens your own email client. Paid plans are sold and paid for through our reseller Paddle (buyer terms, privacy). AI requests go directly to the provider you choose under its terms, not to a Typeside AI proxy. Our Privacy Notice describes the data involved.

An interruption or failure at one of these providers can interrupt the Services. Where that happens, Section 15 (Modifications and Interruptions) sets out what we owe you, and Section 7 (Refund and Cancellation) covers refunds for periods we could not provide the Services.

We may change providers. Section 9 (AI Features and Output) sets out what we will do when the provider that processes your text changes.

12. SERVICES MANAGEMENT

We use account, billing, licence, and activation records to provide access and detect abuse. We do not read the text you send, and we have no system that inspects its content. AI usage statistics remain on your device; the former server text-contribution path is no longer used. Our Privacy Notice describes the records we hold.

Where you are in material breach of these Legal Terms, or where your use creates a risk to the Services or to another person, we may restrict or suspend access. If you have a paid subscription, we will tell you the reason before doing so unless an immediate suspension is needed to protect the Services, another person, or us — in which case we will tell you promptly afterwards. You can ask us to review the decision, and Section 7 (Refund and Cancellation) applies to any period you have paid for and cannot use.

We may take legal action where the law is broken, and we may report unlawful activity to the authorities where we are required to or where it is necessary to protect someone.

13. PRIVACY

Our Privacy Notice explains what personal information we collect, why, how long we keep it, and the rights you have. It is the notice the law requires us to give, not a set of contractual promises, and it is not incorporated into these Legal Terms. Where it and these Legal Terms appear to differ as to what we do with your information, whichever gives you more protection applies, and we will correct the mismatch.

Account, billing, and activation records are held on infrastructure operated for us by Supabase. Cloud text processing is a direct connection from your device to your chosen BYOK provider. Our Privacy Notice explains the recipients and international transfers.

The Services are intended for users who are at least 14 years of age. We do not knowingly collect personal information from children below that age. If you believe a child has given us personal information, write to us and we will delete it.

14. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. You may close your account at any time from My Account.

An account-deletion request first stops renewal. If a payment, conversion, refund, or dispute is unresolved, deletion is held until we can safely resolve it and we show that status. A paid subscription remains usable on already activated devices until its paid period ends; a valid lifetime activation remains usable on those devices. After deletion you cannot use My Account or add devices. Minimal pseudonymised billing records are retained for 5 years as described in our Privacy Notice.

We may suspend or end your access where: you are in material breach of these Legal Terms; your use is unlawful or creates a serious risk to other people or to the Services; payment for a paid plan fails and is not resolved after we tell you; or we are required to do so by law.

Where we end a paid subscription for any reason other than your own material breach, we will tell you in advance and refund the part of the period you have paid for and cannot use. Where we end it for material breach, we will tell you the reason and give you an opportunity to respond, unless the law or an immediate risk prevents that.

We may also discontinue the Services as a whole; Section 15 (Modifications and Interruptions) sets out the notice we will give and what you may claim.

On termination, we delete your account and the information associated with it as described in our Privacy Notice, except where we are required to keep records by law. If we end your account for material breach, you may not open another one without our agreement.

15. MODIFICATIONS AND INTERRUPTIONS

Changes to the Services

We may change the Services where there is a good reason to: to keep them working with the operating systems and applications they run alongside, to comply with a change in the law, to protect security, to replace a supplier that is no longer available to us, or to add or improve features. We will not use this to reduce what your paid plan provides for a period you have already paid for.

Where a change would reduce what a paid plan provides in more than a minor way, we will tell you by email at least 30 days beforehand, saying what is changing and when, and you may then end your subscription free of charge and receive a refund of the unused part of what you have paid.

If we decide to discontinue the free plan or the Services as a whole, we will give at least 30 days' public notice, and we will refund the unused part of any paid subscription.

Availability

We cannot promise that the Services will be available at all times. Maintenance, hardware or software problems, and failures at the providers described in Section 11 (Third-Party Services) can cause interruptions. Where an interruption is within our control and lasts long enough to matter, Section 7 (Refund and Cancellation) covers the refund; this section does not exclude any liability we have for failing to supply the Services.

Changes to these Legal Terms

We may amend these Legal Terms for the same reasons, and to correct errors or make them clearer. We will not use this to change the price, the licence or device allowance, or your rights under Section 7 (Refund and Cancellation), Section 19 (Disclaimer), or Section 20 (Limitations of Liability) to your disadvantage without asking you. We will publish the amended version and tell registered users at least 7 days before it takes effect, and at least 30 days beforehand where the change is to your disadvantage. Those periods are our own commitment rather than a period the law fixes.

Where an amendment materially changes what you agreed to, we will ask you to accept it. If you do not accept it, you may end your subscription; you keep the benefit of the version you accepted until the end of the period you have already paid for, and you may instead ask for a refund of the unused part. We will never treat your continued use of the Services as your agreement to a change.

16. GOVERNING LAW AND DISPUTES

These Legal Terms are governed by the law of the Republic of Korea.

If you are a consumer, this does not deprive you of the protection of the mandatory rules of the law of the country, state, or province where you live, and you may bring proceedings in the courts of that place. We will bring any proceedings against a consumer only in the courts of the place where that consumer lives. For everyone else, the courts of the Republic of Korea have jurisdiction.

If something goes wrong, please write to us first at typeside001@gmail.com. Most problems are resolved that way, and we will respond within a reasonable time.

If we cannot resolve it between us, a consumer in the Republic of Korea may apply to the Korea Consumer Agency for dispute mediation. We are not obliged to take part in any other alternative dispute resolution scheme, and we do not undertake to do so.

17. REGION-SPECIFIC TERMS

This section preserves regional consumer rights. It is not a claim that the Services or these Legal Terms have been certified compliant in every jurisdiction. If mandatory local law or this section gives you greater protection than another section, that greater protection applies.

European Economic Area and United Kingdom

You have 14 days to withdraw from a purchase without giving a reason; Section 7 (Refund and Cancellation) provides this, and a model withdrawal form is available at checkout and on request. We will send you confirmation of your contract, including these Legal Terms, on a durable medium after you subscribe.

Your statutory rights in respect of digital content and digital services apply in full, and nothing in Section 9 (AI Features and Output), Section 19 (Disclaimer), or Section 20 (Limitations of Liability) limits them. In particular: the Services must be as described, fit for purpose, and of satisfactory quality; if they are not, we must bring them into conformity, and if we cannot do so within a reasonable time and without significant inconvenience to you, you may have a price reduction or may end the contract and be reimbursed; and for as long as we supply the Services, it is for us to show that they were in conformity, not for you to show that they were not.

Where we fail to supply the Services at all, you may ask us to supply them and, if we still do not, end the contract and be reimbursed within 14 days.

You may bring proceedings in the courts of the country where you live, and the mandatory rules of that country's law apply to you regardless of Section 16 (Governing Law and Disputes).

United States

Before your subscription begins we present the automatic renewal terms clearly and separately, and we obtain your agreement to them separately from your agreement to these Legal Terms. After you subscribe we send you an acknowledgement that repeats the renewal terms, the amount and frequency of the charge, and how to cancel.

You may cancel at any time from My Account — the same route by which you subscribed — and cancellation takes effect without your having to speak to anyone. Where your state's law requires it, our reseller Paddle sends a reminder before an annual subscription renews.

Republic of Korea

For a subscription of one month or longer you may terminate at any time during its term and receive a refund of the unused part, without a penalty; Section 7 (Refund and Cancellation) provides this.

The trade name, representative, address, telephone number, and business registration number that Article 10 of the Act on Consumer Protection in Electronic Commerce requires a seller to display are given in Section 26 (Contact Us) and in the footer of our website. Our mail-order sales registration has been filed, and we will add its number there once it is issued.

If a dispute cannot be resolved between us, you may apply to the Korea Consumer Agency for mediation. Where a contract was entered into by a minor without the agreement of a legal representative, it may be cancelled under the Civil Act, and we will refund amounts paid.

18. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We may correct such errors and update the information on the Services.

This section does not apply to the price of a plan you have ordered or to what your plan provides. Price changes are governed by Section 5 (Purchases and Payment) and changes to the Services by Section 15 (Modifications and Interruptions); this section does not replace the notice, consent, and refund those sections give you.

19. DISCLAIMER

Nothing in this section or in Section 20 (Limitations of Liability) excludes or limits our liability for death or personal injury caused by our negligence, for fraud, for wilful misconduct or gross negligence, or for anything else that cannot lawfully be excluded or limited.

If you are a consumer

The Services must be as we have described them, fit for the purposes for which services of this kind are normally used, and of the quality you can reasonably expect given what we have said publicly about them. Where they are not, you have the remedies the law of your country gives you: we will bring the Services into conformity, and if we cannot do so within a reasonable time and without significant inconvenience to you, you may have a reduction in price or may end the contract and get your money back. Nothing in these Legal Terms takes that away, and the burden of showing that the Services were in conformity is ours, not yours.

Section 9 (AI Features and Output) sets out separately what we do and do not promise about the content of any individual Output. That is a statement about what statistical models can do, not an exclusion of the obligations described in this section.

If you are using the Services for business purposes

The following applies only where you are using the Services for the purposes of a business, trade, or profession. It does not apply to consumers.

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of harmful components.

We are not responsible for the products or services of third parties that you reach through the Services, or for transactions between you and them.

20. LIMITATIONS OF LIABILITY

The opening paragraph of Section 19 (Disclaimer) applies to this section as well: we do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for wilful misconduct or gross negligence.

This section does not apply at all to a claim for compensation under data protection law — including Article 82 of the GDPR, its United Kingdom equivalent, and Articles 39 and 39-2 of the Korean Personal Information Protection Act — or to loss or damage caused to your device or to your other files by the Services.

Subject to those exceptions: we are not liable for indirect, consequential, exemplary, incidental, or punitive loss, or for special damages (including lost profit, lost revenue, or loss of data), arising from your use of the Services. Our total liability to you for all other loss, on any basis, is limited to the fees you actually paid for the Services during the twelve (12) months before the event giving rise to the claim.

The liability cap in this section does not apply to refunds, repayment of fees, or restitution required under Section 7 (Refund and Cancellation) or applicable law.

21. INDEMNIFICATION

You agree to indemnify us against loss, damage, liability, claims, and reasonable legal costs that a third party brings against us because of: (1) your breach of these Legal Terms; (2) your infringement of a third party's rights; or (3) your unlawful use of the Services.

If you are a consumer, this applies only to the extent the claim arises from your own intentional or negligent wrongdoing, and only to loss that was a foreseeable consequence of it.

We will tell you promptly about any claim to which this section applies and will not settle it in a way that admits fault on your part without your agreement. You may take over the defence of the claim; if you do not, we may defend it ourselves and you will not be liable for costs we incur beyond what was reasonable.

22. USER DATA

This section is about account, billing, and activation records described in our Privacy Notice. The text you send to be processed and the results you receive are governed by Section 9 (AI Features and Output). Typeside does not receive or retain that text on its servers. Optional local history and personalisation remain on your device, and a BYOK provider applies its own retention policy.

We take reasonable backups of the data we hold, but you remain responsible for keeping your own copies of anything important to you. We do not undertake to restore data you have deleted.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us email, and completing online forms are electronic communications. You consent to receive communications from us electronically, and you agree that agreements, notices, disclosures, and other communications we provide to you by email or through the Services satisfy any legal requirement that they be in writing, where the law allows.

You agree to the use of electronic records and electronic signatures for transactions you enter into with us. This does not affect any right you have to receive information on paper or on another durable medium where the law provides one, and we will give you a copy of your contract on a durable medium after you subscribe.

24. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

25. MISCELLANEOUS

These Legal Terms, together with the terms you accept at checkout, are the agreement between you and us about the Services. This does not exclude any public statement we have made about the Services — on our website, in the application, or in our advertising — on which you were entitled to rely.

If we do not enforce a right or provision, that is not a waiver of it. If a provision is found unlawful or unenforceable, the rest continues to apply.

We may transfer our rights and obligations under these Legal Terms to another company, for example on a merger or sale of the business. We will tell you beforehand, and if you do not wish to continue you may cancel and receive a refund of the unused part of what you have paid. You may not transfer yours without our agreement.

We are not liable for a delay or failure caused by something beyond our reasonable control, but this does not affect your right to a refund under Section 7 (Refund and Cancellation) for a period in which the Services were not provided.

These Legal Terms do not create a partnership, joint venture, employment, or agency relationship between us.

Languages

These Legal Terms exist in English and in Korean. You contract on the version in the language in which you agreed to them, and where the two differ, the reading that is more favourable to you as a consumer applies. If we later publish a version in another language, the same rule applies to it.

What survives

Sections 2 (Intellectual Property Rights), 9 (AI Features and Output), 10 (Feedback Licence), 16 (Governing Law and Disputes), 19 (Disclaimer), 20 (Limitations of Liability), 21 (Indemnification), and this section continue to apply after these Legal Terms end.
